The Company Law Reform Bill was introduced into the House of Lords on 1 November 2005 and brought forward to the House of Commons on 24 May 2006.  After its Second Reading on 6 June, the Bill was committed to a Standing Committee.  Proceedings in the Standing Committee started on 15 June and must be concluded by 13 July 2006. 

The Government has confirmed that it now intends the Bill to codify as much of the law as possible in one place.  Further clauses will therefore be added to the Bill to restate those parts of the Companies Act 1985 that had not previously been incorporated.  The Government’s current thinking is that the new consolidating clauses will be considered after the summer recess, with the hope that the whole Bill will be passed by the end of the year.

The DTI has published draft model articles for public companies limited by shares and is inviting comments to be submitted by 30 August 2006.  Further consultations on the model articles for private companies limited by shares and by guarantee will be opened in due course.
